These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or the “User”), and Joblin S.à r.l.-S, doing business as Joblin, a simplified limited liability company (société à responsabilité limitée simplifiée), incorporated and existing under Luxembourg laws, having its registered office at 2a Rue Marguerite Thomas-Clement, L-8098 Strassen, and being registered with the Luxembourg Trade and Companies Register under number B[.] [Our VAT number is [Number]] ("Company", "Taskmasters", “Joblin”, “we”, “us”, or “our”), and concerning your access to and use of Taskmasters’ Site and Site Services (collectively, “Services”).
You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.
IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.
We recommend that you print a copy of these Legal Terms for your records.
TABLE OF CONTENTS
- 1. DEFINITIONS
- Client - means any legal entity or individual using the Marketplace, with a view to contacting or being put in touch with one or more Professionals in order to entrust them with the performance of an Assignment.
- Contributions - means any elements provided by any User in relation to a Submission.
- Professional - means any User having a business purpose.
- Marketplace - means the Site.
- Mission - means the specific tasks instructed by a Client to a Professional via the Marketplace.
- Site - means https://taskmasters.lu/
- Site Services - means:
- the possibility for the User to create an Account on the Marketplace;
- connecting Professionals and Clients via the Marketplace for the completion of assignments in each of the countries where Taskmasters operates;
- providing payment methods to secure the completion of an Assignment;
- the collection from Professionals of any documents proving the regularity of their legal status and, where applicable in accordance with national law, making them available to the Client. In the event that the Client, in its capacity as principal, has a legal obligation to verify the legal status of the Professional, Taskmasters shall keep the required documents at its disposal. The Client remains solely responsible for verifying them;
- issuing invoices for Assignments carried out by the Professional via the Marketplace, in accordance with the Invoicing Mandate;
- automatic recommendation tools for Professional profiles.
- Submissions - means any post, message, content, element, or any material that has been submitted to the Site that will result in an introduction for Contributions from any other Users of the Marketplace.
- User - means either a Client or a Professional registered on the Marketplace.
2. ACCOUNTS
2.1 Registration - You must register for an account with us (“Account”) to access and use certain portions of our Services.
Registered users of our Services are “Users”, and unregistered users are “Site Visitors”.
Your Account registration is subject to approval by Joblin S.à r.l.-S. We reserve the right to decline a registration either to join Taskmasters or to add an Account of any type, for any lawful reason, including supply and demand, cost to maintain data, or other business considerations.
You agree to keep your password confidential and will be responsible for all use of your account and password.
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
You are responsible for safeguarding and maintaining the confidentiality of your username and password, and agree not to share your username or password with anyone.
You agree to notify us immediately if you suspect or become aware of any unauthorized use of your Account or any unauthorized access to your password.
You further agree not to use the Account or log in with the username and password of another User.
2.2 Account eligibility - To register for an Account to use our Services, you must complete a User profile (“Profile”), which you consent to be shown to other Users and, unless you change your privacy settings, to be shown to the public.
You must be at least 18 years of age and legally capable of entering into contracts and using the Marketplace in accordance with these Terms and Conditions.
You agree to:
- provide accurate and complete information on your Profile—and on all registration and other forms you access while using our Services or provide to us;
- keep that information current;
- not provide any false or misleading information about your identity, location, business, the beneficial owner(s) of your business, skills, or services;
- correct any information that is or becomes false or misleading.
We reserve the right to suspend or terminate the Account or access to our Services of anyone who provides false, inaccurate, or incomplete information in creating, marketing, or maintaining a Profile or an Account.
2.3 Account types - We offer several different Account Types. You agree not to register for or maintain more than one Account and Profile without express written permission from us.
If you create an Account as an employee or agent on behalf of a company, you represent and warrant that you are authorized to enter into binding contracts, including the Terms of Service, on behalf of yourself and the company.
[More than one person can create an Account as an employee or agent on behalf of the same company.]
Client Account - Any natural or legal person acting for personal or consumer use can register for a Client Account to use the Services as a Client.
If the Client provides false, inaccurate, outdated or incomplete data, the Company may suspend or close their Account and deny access to all or part of the Services.
Professional Account - Any natural or legal person acting for business purposes only can register for a Professional Account to use the Services as a Professional.
By registering for a Professional Account or using our Services as a Professional, you represent that you:
- are doing business under your own name as a self-employed individual/sole proprietor or are an employee or agent of an independent business (corporation, limited liability company, or other entity);
- will use our Services for business purposes only;
- will comply with any licensing, registration, or other legal requirements applicable to your business or activity;
- are at least 18 years old (or the age of majority in your country), and can form legally binding contracts;
- will comply with all applicable local, national, and international laws and regulations when using our Site and Services.
The following activities are not accepted for a Professional Account on the Marketplace:
- medical activities requiring licensing (e.g., doctor, nurse),
- legal activities requiring licensing (e.g., lawyer, notary)
2.4 Invoicing Mandate - The Professional acknowledges and agrees that creating a Professional Account on the Marketplace implies unconditional acceptance of entering into a Billing Mandate with the Company.
Under this Mandate:
- the Professional, as principal, entrusts the Company, as agent, with:
- (i) preparing and issuing invoices for Assignments performed via the Marketplace;
- (ii) collecting payment for such invoices on their behalf.
The Professional agrees to:
- upload all required documents for compliance with labor laws and transparency rules (e.g., anti-fraud, KYC, AML);
- provide complete and accurate information for invoice preparation;
- inform the Company without delay of any changes to their legal, accounting, or tax status (e.g., address, legal form, VAT number).
The Professional:
- is responsible for their own tax and accounting obligations;
- will receive copies of all invoices;
- must contest invoices, if necessary, within three days of issuance.
2.5 Identity and Location Verification - When registering (and periodically thereafter), your Account may be subject to verification, which may include:
- checks against third-party databases,
- submitting government-issued IDs or legal documents,
- validating business ownership or payment methods.
You authorize Taskmasters, directly or through third parties, to make the necessary inquiries to:
- confirm your identity,
- validate your location,
- verify your ability to represent your business.
Some Account features may be temporarily restricted during verification. They will be restored once verification is complete.
2.6 User Representation - By using the Services, you represent and warrant that:
- All registration info is true, accurate, current, and complete.
- You will keep your info updated.
- You have the legal capacity to agree to these Terms.
- You are of legal age (or have parental permission if not).
- You will not use bots or automated means to access the Services.
- You will not use the Services for illegal or unauthorized purposes.
- Your use of the Services will comply with all applicable laws.
If any information is found to be untrue or misleading, we reserve the right to:
- suspend or terminate your Account,
- prohibit future use of the Services.
IMPORTANT:
Users understand and agree that Taskmasters does not provide any insurance covering the tasks ordered by a Client and undertaken by a Professional.
- It is the sole responsibility of the Professional to purchase appropriate insurance for their services.
3. PURPOSE OF TASKMASTERS - The Taskmasters Site is a work marketplace where Clients and Professionals can identify each other and advertise, buy, and sell Professional Services online.
4. RELATIONSHIP WITH TASKMASTERS - Taskmasters provides a platform that allows Users to:
- find each other,
- enter into service relationships and agreements,
- receive and provide services
Taskmasters:
- does not perform services or employ individuals to perform them;
- does not supervise, control, or direct Users in fulfilling contractual obligations;
- does not guarantee the accuracy or legality of User Content;
- does not guarantee or endorse any specific service offered by Users;
- is not a party to Service Contracts between Users.
Badges (such as “verified” or “top-rated”) may appear on profiles but are not guarantees of:
- service quality,
- qualifications,
- reliability,
- ability or willingness to complete a contract.
Users are solely responsible for:
- evaluating potential Clients or Professionals,
- deciding whether to enter into a contract,
- negotiating and managing terms,
- performing under the contract.
All agreements between Users are made directly between them.
Taskmasters is not a party to those agreements.
Users are free to:
- work with others outside the platform,
- run any other business activity in parallel.
We may from time to time test new features or tools, including beta features.
- These are experimental and we do not guarantee their availability or stability.
5. TAXES AND BENEFITS - The Professional acknowledges and agrees that they are solely responsible for:
a) All tax obligations related to payments received from Clients via Taskmasters;
b) Purchasing insurance, including liability, health, workers’ compensation, disability, or unemployment insurance — Taskmasters does not provide any such coverage;
c) Compliance with invoicing, tax reporting, and remittance requirements under applicable law;
d) For Professionals outside the EU, determining if Taskmasters must withhold any amount due to local regulations, and if so, notifying Taskmasters and indemnifying them for such obligations (including penalties or interest).
Professionals must pay all taxes arising in connection with use of the Platform and related agreements.
There are no offsets or deductions from the fees paid to Taskmasters.
In case of a tax audit, the Professional agrees to cooperate with Taskmasters and provide any required documents, including tax returns and records showing independent business activity.
6. FEEDBACK AND USER CONTENT
6.1 User FeedbackUsers may submit or receive feedback, such as:
- public ratings,
- written reviews,
- location indicators,
- overall satisfaction metrics (e.g. “Job Success Score”).
This feedback is:
- provided voluntarily by Users,
- not verified or endorsed by Taskmasters,
- meant for informational purposes only.
Submitting false or misleading feedback violates these Terms and may result in suspension or account termination.
Taskmasters is not responsible for:
- the truthfulness or accuracy of feedback,
- ensuring feedback is up-to-date,
- intervening in feedback disputes unless a policy violation is proven.
If you believe any feedback about you is inaccurate, you must notify Taskmasters.
6.2 User Content
While using the Services, you may encounter:
- inaccurate or incomplete content,
- delayed or misleading information,
- offensive, harmful, or illegal materials.
You agree that:
- Taskmasters does not pre-screen or monitor all content,
- Taskmasters is not responsible for content created by Users,
- misuse of the Services is possible, and Taskmasters is not liable for its consequences.
Taskmasters reserves the right (but has no obligation) to:
- remove feedback or content that violates these Terms,
- act against users who harm the integrity of the platform.
7. ACCESS TO MARKETPLACE
7.1 Technical Access
Users are responsible for:
- setting up their own internet and IT systems,
- covering their own telecom/internet expenses.
The Marketplace is accessible 24/7.
However, the Company may, without notice or compensation:
- temporarily or permanently close access for maintenance or updates,
- change operating methods, hosting servers, or availability schedules,
- make any improvements deemed necessary for the platform’s functionality.
7.2 Access Restrictions
Access is strictly limited to registered Users.
Use by intermediaries or recruiters acting on behalf of third parties is prohibited unless expressly authorized.
Also prohibited:
- Individuals or entities who do not qualify as Professionals under these Terms;
- Employees (under labor law) who attempt to bypass their employment contracts to provide services through the platform.
Violating this section may result in:
- permanent account closure,
- compensation claims up to €10,000, depending on severity,
- legal action in appropriate courts.
Offenders remain fully liable for all direct or indirect consequences of their behavior.
7.3 Prohibition of Scraping
Strictly forbidden:
- Extracting or collecting data from Taskmasters’ web pages using bots, scraping tools, or automated systems;
- Copying user or service data in bulk.
Violators may face platform sanctions and legal consequences.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Intellectual Property
Taskmasters (or its licensors) owns all rights to:
- Source code, databases, functionality, software, website design;
- Text, images, graphics, videos, audio;
- Logos, trademarks, and service marks (“Marks”).
These assets are protected by copyright, trademark, and international law.
You may use content “as is” solely for your internal business purposes.
You may not:
- copy, reproduce, distribute, or commercially exploit any part of it,
- use our Marks without express permission.
8.2 Your Submissions and Contributions
You are responsible for everything you upload or post.
By sharing Submissions or Contributions, you:
- confirm compliance with our Prohibited Activities;
- waive moral rights, where legally permitted;
- warrant that you own or have the right to share the content;
- confirm the content is not confidential.
Taskmasters may remove or edit any content that:
- violates these Terms,
- is harmful or inappropriate in our reasonable opinion.
- We may suspend your account and, if necessary, report you to authorities.
9. PURCHASES AND PAYMENT
- provide current, complete, and accurate billing information;
- update payment methods, email, and billing details as needed;
- pay all charges in effect at the time of purchase, including any applicable sales tax and shipping fees.
We may:
- update prices at any time;
- correct pricing errors even after payment;
- refuse or cancel orders, especially if placed in bulk, through duplicate accounts, or under suspicious circumstances.
All payments are in Euro (unless stated otherwise).
Professional Payment System
Client payments are made on the spot directly to the providers.
Available payment methods include:
- secure credit card payment,
- bank transfer,
- cash
10. SOFTWARE
Some Services may include software.
If that software is accompanied by a license agreement (EULA), it will govern your use.
If no EULA is provided:
- Taskmasters grants a non-exclusive, revocable, personal, non-transferable license to use the software only in connection with the Services.
The software is provided “AS IS” with no warranties — express or implied.
You may not:
- copy or redistribute the software unless permitted by the EULA;
- reverse engineer, decompile, or disassemble the code unless required by law.
- You use all software at your own risk.
11. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than those explicitly permitted by Taskmasters.
Strictly prohibited activities include (but are not limited to):
- Systematic data scraping or content extraction;
- Collecting user emails or usernames for spamming or mass messaging;
- Creating fake or automated user accounts;
- Circumventing security measures;
- Framing or deep-linking to Taskmasters without permission;
- Misleading or impersonating other users;
- Submitting false reports or abuse claims;
- Using bots or scripts for interactions;
- Disrupting the platform’s operation or servers;
- Uploading malware, viruses, trojans, or engaging in spamming;
- Harassing or threatening Taskmasters staff or Users;
- Using the Services to compete with Taskmasters;
- Reverse engineering or disassembling platform code;
- Uploading spyware or using passive data-collection mechanisms;
- Running unauthorized scripts, spiders, or cheats;
- Disparaging Taskmasters’ reputation;
- Violating any local, national, or international laws.
Taskmasters reserves the right to investigate and take legal action against any breach of these prohibitions.
12. USER GENERATED CONTRIBUTIONS
Taskmasters may allow Users to:
- post content,
- participate in blogs, forums, chats, or reviews.
This includes text, media, personal information, and any material ("Contributions").
By submitting Contributions, you confirm:
- You own or have the rights to the content;
- All identifiable people have given written consent;
- Content is accurate and lawful;
- It is not misleading, harmful, hateful, obscene, abusive, or discriminatory;
- It doesn’t promote violence, illegal activity, or infringe on third-party rights.
You must NOT:
- Post false advertising, spam, or chain letters;
- Violate the privacy or intellectual property of others;
- Post content involving minors, explicit material, or hate speech.
Violations may lead to:
- Immediate removal of content;
- Suspension or deletion of your account;
- Legal reporting.
- You remain solely responsible for your Contributions and any consequences they create.
13. CONTRIBUTION LICENSE
By posting your Contributions through the Services (including linking social media accounts), you grant Taskmasters a worldwide, irrevocable, perpetual, royalty-free, transferable, and sublicensable license to:
- use, host, copy, reproduce, display, distribute, broadcast, and adapt your Contributions,
- prepare derivative works,
- use your name, company name, and any associated trademarks or likenesses,
- use your voice and image if included in videos, photos, or audio materials.
This license covers all formats and media — existing and future — for any commercial, advertising, or operational purpose.
- Important notes:You retain ownership of your Contributions;
- You waive moral rights, to the extent allowed by law;
- Taskmasters is not liable for statements or representations made in your content;
- You agree not to pursue legal action against us in connection with your Contributions.
We reserve the right to:
- Edit or re-categorize Contributions;
- Remove any content at any time;
- Pre-screen or moderate content when needed.
We are not obligated to monitor Contributions — but we may do so at our sole discretion.
14. GUIDELINES FOR REVIEWS
When leaving reviews on Taskmasters, you agree to:
- Post only if you’ve had firsthand experience with the person or business;
- Avoid offensive, racist, hateful, or profane language;
- Not include discriminatory references (race, gender, religion, orientation, etc.);
- Not mention illegal activity;
- Disclose any conflicts of interest — especially with competitors;
- Avoid making legal accusations or claims;
- Post honest, accurate, and unbiased content;
- Not coordinate mass campaigns for or against any User.
Taskmasters reserves the right to:
- accept, reject, or remove reviews at its sole discretion,
- leave reviews online even if some Users find them objectionable.
Reviews represent User opinions, not those of Taskmasters.
We are not responsible for any liability or consequences stemming from reviews.
- By posting a review, you grant Taskmasters the right to reproduce, translate, and distribute the content — including across media and formats.
15. THIRD-PARTY WEBSITES AND CONTENT
The Services may include:
- links to Third-Party Websites,
- content such as articles, images, videos, applications, or software created by third parties ("Third-Party Content").
Please note:
- These external sites and materials are not monitored or verified by Taskmasters.
- We do not guarantee accuracy, reliability, or legality of Third-Party Websites or Content.
- Inclusion of such links or content does not imply endorsement.
If you access Third-Party Websites or install third-party applications:
- You do so at your own risk.
- You should review their own terms and privacy policies.
- Taskmasters is not responsible for purchases or damages resulting from those interactions.
You agree to hold Taskmasters harmless for:
- any harm caused by Third-Party services or content,
- any disputes arising from third-party purchases or agreements.
16. ADVERTISERS
We may display advertisements in designated areas of the Services, such as:
- sidebars,
- banners,
- embedded sections.
Important points:
- Taskmasters only provides advertising space.
- We do not own, endorse, or control the ads or the advertisers.
- Any interaction, purchase, or dispute with advertisers is entirely between you and them.
- We disclaim all liability regarding advertiser content or offers.
17. SERVICES MANAGEMENT
Taskmasters reserves the right — but not the obligation — to:
- Monitor the Services for any violations of these Legal Terms;
- Take legal action against anyone who violates the law or these Terms, including notifying law enforcement;
- Restrict, limit, or disable access to any part of the Services or specific content, at our sole discretion;
- Remove files or content that are:
- excessive in size,
- burdensome to our systems,
- or otherwise inappropriate;
- Manage the Services in ways that protect our rights, users, and ensure proper platform functioning.
We may exercise these rights at any time and without prior notice.
18. PRIVACY POLICY
We care about your data privacy and security.

By using the Services, you agree to be bound by the Privacy Policy, which is incorporated into these Legal Terms.
Please note:
- The Services are hosted in Luxembourg.
- If you access them from other regions with different data laws, you acknowledge and accept:
- your data may be transferred to, processed, and stored in Luxembourg;
- and that such transfer complies with your local laws.
- We encourage you to read the Privacy Policy carefully to understand how your personal data is collected, used, and protected.
19. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services.
Taskmasters reserves the right to:
- deny access to the Services (including blocking IP addresses),
- suspend or terminate your account,
- delete your content,
- at any time, without warning or liability, if:
- you breach any provision of these Legal Terms, or
- you violate any applicable law or regulation.
If your account is terminated:
- You may not register a new account under your name, a false name, or someone else’s name — even if acting on their behalf.
- We may pursue legal action, including civil or criminal remedies.
20. MODIFICATIONS AND INTERRUPTIONS
Taskmasters may:
- modify, remove, or update any part of the Services at any time;
- change prices, features, or availability without notice;
- interrupt Services for maintenance or due to technical issues.
We are not liable for:
- any losses or inconvenience caused by downtime,
- interruptions due to system errors, maintenance, or updates.
We make no guarantee that:
- the Services will be available at all times,
- all features will remain active or accessible,
- we will continue to support or develop specific functionalities.
You agree that you use the Services at your own risk, and that Taskmasters is not obligated to:
- maintain the platform continuously,
- supply updates, patches, or new releases.
21. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of Luxembourg, without regard to conflict of law principles.
22. DISPUTE RESOLUTION
22.1 Informal Negotiations
To resolve any dispute efficiently, both parties agree to attempt informal negotiations for at least 2 days before initiating mediation or arbitration.
These negotiations begin when one party sends written notice to the other.
22.2 Binding Mediation and Arbitration
If informal negotiations are unsuccessful within 60 calendar days, the dispute shall be:
- Submitted to mediation in accordance with the rules of the Civil and Commercial Mediation Center (CMCC) of Luxembourg.
- Parties agree to this by signing a mediation agreement under Article 1251-9 of the New Code of Civil Procedure.
- If mediation fails, the dispute shall be finally settled through arbitration under the rules of the Arbitration Center of the Luxembourg Chamber of Commerce, with one or more arbitrators.
Note: Mediation is considered concluded if either party declines to continue after the first session (as defined in Article 1251-5 of the New Code of Civil Procedure).
22.3 Restrictions
All arbitration proceedings will:
- be limited to disputes between the parties individually;
- not include class actions, mass actions, or public claims.
Specifically:
- no joined or collective arbitration with other users,
- no representative actions on behalf of others.
22.4 Exceptions
These terms do not apply to:
a) disputes about intellectual property rights,
b) allegations of theft, piracy, or unauthorized use,
c) requests for injunctive relief.
- If any part of this clause is found unenforceable, the dispute will be settled in court, in Luxembourg, under its jurisdiction.
23. CORRECTIONS
There may be typographical errors, inaccuracies, or omissions on the Services — including in:
- descriptions,
- prices,
- availability,
- or other information.
We reserve the right to:
- correct such errors,
- update or change the information at any time,
- do so without prior notice.
24. DISCLAIMER
The Services are provided on an "as-is" and "as-available" basis.
You agree to use them at your own risk.
To the fullest extent permitted by law, Taskmasters disclaims all warranties, including:
- implied warranties of merchantability,
- fitness for a particular purpose,
- non-infringement,
- and data accuracy or uptime.
We do not guarantee that:
- the content is complete or accurate;
- the platform will be uninterrupted or error-free;
- bugs or viruses will be prevented or eliminated;
- any advertised third-party product or service is legitimate.
We are not responsible for:
- injury or property damage from using the Services;
- unauthorized access to your data or account;
- any damages from third-party links or content.
Use common sense and caution when interacting with Users or purchasing services.
25. LIMITATIONS OF LIABILITY
In no event shall Taskmasters, its directors, employees, or agents be liable for:
- direct or indirect damages,
- loss of profit, revenue, or data,
- incidental or consequential damages,
- punitive or exemplary damages,
arising from your use of the Services — even if we were advised of the possibility.
Our total liability is limited to the lesser of:
- the amount you paid us in the [#] months prior to the incident, or
- €[EUR AMOUNT].
- Some local or international laws may not allow such limitations. In that case, the limitation may not apply to you in full, and you may have additional rights.
26. INDEMNIFICATION
You agree to defend, indemnify, and hold Taskmasters harmless — including our subsidiaries, affiliates, officers, partners, and employees — against any claims, liabilities, or damages arising from:
- Your Contributions;
- Your use of the Services;
- Any breach of these Legal Terms;
- Violation of your representations and warranties;
- Infringement of third-party rights, including intellectual property;
- Harm caused to another User you interacted with through the Services.
If we choose to take over the defense of a claim:
- You will cooperate fully at your expense;
- We will make reasonable efforts to notify you of any such claims.
27. USER DATA
We maintain some data related to your use of the Services to ensure platform performance.
However, you are solely responsible for:
- backing up any data you upload or transmit,
- keeping records of your own activities.
We are not liable for:
- loss or corruption of any such data,
- inability to retrieve your data due to system errors, outages, or deletion.
By using the Services, you waive the right to claim damages related to lost or corrupted user data.
28. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
By using the Services (including browsing, submitting forms, or contacting us), you agree to:

- Our failure to enforce any right or provision shall not be considered a waiver of that right or provision.
- These Terms operate to the maximum extent permitted by law.
- We may assign our rights and obligations at any time, to any party, without notice or approval.
- We are not liable for delays or failure to act caused by forces beyond our reasonable control (e.g., natural disasters, internet outages, government actions).
- If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be considered severable, and will not affect the validity of the remaining provisions.
- These Terms do not create a partnership, joint venture, agency, or employment relationship between you and us.
- You agree that these Terms will not be interpreted against us simply because we drafted them.
- You waive any legal defense based on:
- the electronic nature of these Terms,
- lack of physical signatures from the parties.
